Digital products, downloads, and licenses in the online store may also be purchased by consumers as defined in Section 13 of the German Civil Code (BGB). Provisions that expressly apply only to business entities or consumers apply only to the respective customer group.

(3) The version of these Terms and Conditions that was effectively incorporated at the time a contract was concluded applies to that contract. Existing contracts are not retroactively amended by any subsequent publication or amendment to these Terms and Conditions. Individual offers, service descriptions, order confirmations, and product or license terms that have been effectively incorporated take precedence over these General Terms and Conditions.

(4) Any deviating terms and conditions of a business entity shall apply only if the Provider expressly agrees to their inclusion in writing.

(5) “Domain” means the second-level and top-level domain. Subdomains count as part of the same domain unless they host a separate website or installation. Any technically independent production, staging or other system is considered a separate installation where it is covered by the product description. Product and licence terms may define the scope differently.

§ 2 Conclusion of the Contract

(1) For individual services, the contract is formed when the Provider’s specific offer is accepted. Acceptance may be given through the customer interface specified in the offer, by order confirmation, by email or in another agreed form. If the offer does not specify a different acceptance period, it may be accepted within seven calendar days of receipt; after that, it expires.

(2) Product descriptions in the online store do not constitute a legally binding offer. The customer may add products to the shopping cart, review their entries until they click the final order button, and correct them using the provided input options. By clicking the “Order” button, the customer submits a binding offer for the products contained in the shopping cart. The contract is concluded upon explicit order confirmation or upon provision of the download or license key.

(3) The contract text, including the order details, is stored in accordance with statutory and tax-related record-keeping requirements. The customer receives an order confirmation at the email address provided and can view orders in an existing customer account. Before submitting the order, the customer can view and save the Terms and Conditions and the Cancellation Policy. The language of the contract is German.

§ 3 Customized Services and Projects in the B2B Sector

(1) The scope, type of service, compensation, deadlines, acceptance, rights of use, response times, and, if applicable, the term are set forth in the individual offer or the order confirmation. The Provider is liable for a specific result only if this has been expressly agreed upon as a work-for-hire service.

(2) The Provider may engage professionally qualified agents to perform the services. Personal data will be disclosed only to the extent necessary for the respective service and permitted under data protection law.

(3) For web design, website, online shop and custom development projects, the Business Customer must provide in full, within each agreed delivery period, the information, content, data, decisions, system access and approvals agreed for the planned development phase. If no other delivery period has been agreed, all of these must be provided no later than six working days before the booked development phase begins. If the agreed content delivery is incomplete when the deadline expires, the Provider is not required to keep the reserved programming or development slot available or to begin work on an incomplete basis. The affected appointment is cancelled; a new appointment will be agreed subject to the Provider’s availability. Agreed delivery and completion dates are postponed by at least three working days plus the period until the next available slot. Demonstrable additional work is charged at the agreed rate or, failing that, at the hourly or daily rate stated in the offer. Charges for reserved capacity under section 6(3) and the contractual penalty under section 6(4) remain unaffected.

(4) Where acceptance has been agreed or is required by the nature of the service, the Customer must inspect the service within the agreed acceptance period. If no other acceptance period has been agreed, the Customer must inspect the delivered service within seven working days after the agreed delivery has taken place and report specific defects in a comprehensible manner. Statutory acceptance rules remain unaffected.

(5) Maintenance and support services are provided within the service hours and allowances specified in the relevant contract. A specific response or completion time applies only if expressly agreed. The Provider may reject requests outside the agreed scope or allowance, or make their performance subject to a separate offer. Individual B2B service contracts run for the term agreed in the offer. For a term of three to six months, the ordinary notice period is four weeks to the end of the relevant term; for a term of twelve months, it is three months to the end of the relevant term. If the contract is not terminated on time, it is renewed each time for the previously agreed term. Any differing provisions in the individual contract take precedence. Existing service contracts that were validly agreed continue under their individual terms.

(6) The place of performance and fulfilment for individual B2B services is Lüneburg unless the nature of the service or an individual agreement provides otherwise.

(7) Unless otherwise agreed, custom websites and shops are required to be compatible with the versions of Safari, Firefox, Chrome and Edge that are current and supported by their respective vendors when the contract is concluded. Support for outdated browsers or browsers that no longer receive security updates requires an express agreement and may be charged separately. Features that cannot be implemented to a technically equivalent standard are excluded.

§ 4 Digital Products, Software, and Licenses

(1) The scope of functionality, technical requirements, compatibility, interoperability, scope of the license, permitted number of installations or domains, term, and included updates and support services are set forth in the product description and any supplementary license terms in effect at the time of the order.

(2) Digital products are made available after the contract is concluded via a download, a customer account, a license key, or the method specified in the product description. Consumers will be informed on a durable medium if they have consented to the provision of the product before the expiration of the withdrawal period and have confirmed their awareness that their right of withdrawal has expired.

(3) Unless expressly stated otherwise, the customer is granted a simple, non-exclusive, and non-transferable right of use to the extent described in the contract. Components provided under an open-source or other third-party license are subject to the respective license terms. Any rights not expressly granted remain with the respective rights holder.

(4) Time-limited licenses or subscriptions are renewed only if this is specified in the product description prior to placing the order. The billing period, renewal period, and cancellation options are governed by these specifications and the applicable statutory provisions. Cancellation terminates future renewals; the current period for which payment has already been made remains available for use until its end.

(5) For consumers, the statutory provisions regarding conformity with the contract, rights in the event of defects, and required updates apply to digital products. Any modification to a digital product provided on a permanent basis may be made for consumers only under the conditions prescribed by law. For business customers, the provider may adapt products to meet changed technical, legal, or security-related requirements, provided that the agreed-upon primary function is not unreasonably impaired.

§ 5 Right of Withdrawal for Consumers

(1) Consumers generally have a statutory right of withdrawal for distance sales contracts. The conditions, time limits, procedures, and sample withdrawal form are set forth in the Cancellation policy.

(2) In the case of digital content subject to a fee that is not provided on a tangible medium, the right of withdrawal expires upon the commencement of contract performance if the consumer has expressly consented to the provider beginning contract performance before the expiration of the withdrawal period, has confirmed their awareness of the expiration of the right of withdrawal, and has been provided with the contract confirmation required by law.

§ 6 Participation in Individual B2B Services

(1) The business customer shall provide all information, content, data, decisions, system access and contact persons required for the service in full and on time. It shall provide requested cooperation within the agreed deadline or, if no deadline has been agreed, no later than seven working days after the request. It shall maintain suitable, up-to-date backups of its systems and data unless data backup is expressly included in the provider’s scope of services.

(2) The Business Customer warrants that it holds the necessary rights to the content, data, trade marks, software and access credentials it provides and that their use for the engagement does not infringe third-party rights. It is responsible for content it provides or approves for publication. It indemnifies the Provider against justified third-party claims arising from an infringement of rights in that content for which the Business Customer is responsible; this includes reasonable legal defence costs. The Provider will notify the Business Customer without delay and coordinate the defence with it. The Business Customer must inform the Provider of any special legal, regulatory or technical requirements that apply to its system.

(3) Firmly reserved programming, development or consulting appointments may be cancelled or rescheduled in text form no later than seven calendar days before they begin, unless another deadline has been agreed in the individual contract. If an appointment is cancelled later or the business customer allows it to pass without cancellation, the provider may charge for the reserved capacity at the agreed hourly or daily rate. Expenses saved and any alternative use of the capacity shall be deducted.

(4) If the business customer intentionally or negligently breaches its duty to cooperate fully and on time under paragraph 1, sentences 1 and 2, or allows a firmly reserved appointment to pass without timely cancellation contrary to paragraph 3, it shall incur a contractual penalty of EUR 250 for each breach. If a breach of the duty to cooperate continues, the contractual penalty shall be incurred again for each completed week. Contractual penalties shall be credited against claims for damages arising from the same breach. To that extent, they constitute the minimum amount of damages; the right to claim additional damages is reserved.

(5) The Customer may not resell individual services or work results as its own white-label service, sublicense them or provide them to third parties for commercial exploitation unless expressly permitted in the offer or in text form.

§ 7 Prices and Payment

(1) The prices listed in the individual offer or in the online store apply. Total prices, including statutory sales tax, are shown to consumers. Prices shown to businesses may be listed as net prices plus statutory sales tax, provided this is clearly indicated.

(2) Invoices for individual B2B orders are due within seven calendar days without any deductions, unless a different payment term is specified in the quote or on the invoice. The payment methods displayed during the ordering process are available in the online store; the total price is due upon conclusion of the contract.

(3) In the event of late payment, the statutory provisions shall apply. With respect to business customers, the Provider may, after prior notice, withhold services not yet rendered until outstanding claims arising from the same contractual relationship have been settled, provided this is reasonable for the customer.

§ 8 Rights of Use in Individual Work Products

(1) Rights to use individually created work results are granted to the extent agreed in the offer. Unless otherwise agreed, rights of use, project-related access credentials and the final handover or migration of the work result are provided after the related remuneration has been paid in full. Mandatory statutory rights remain unaffected.

(2) The Provider’s existing tools, libraries, methods, templates, and generally applicable know-how are not transferred on an exclusive basis. Third-party software and open-source components are subject to their own license terms.

(3) For individual B2B services, the Provider is entitled to list the engagement and the Customer as a reference in her public portfolio. This includes the company name and business identifier, a factual description of the services provided, and images of work results created by the Provider that have already been published, on her websites, social networks, and in her own presentation and proposal materials. The Customer grants the Provider the non-exclusive rights of use required for this purpose to the extent that the Customer is entitled to do so. Confidential information, third-party personal data and unpublished work results are excluded. Individual agreements, including confidentiality agreements, embargo periods or an agreed exclusion, take precedence.

(4) The Provider retains her copyright, patent, trade mark, design and related rights unless rights of use are expressly granted to the Customer. Third-party rights remain unaffected.

§ 9 Defects and Liability

(1) The statutory provisions apply to defects. In the case of consumer contracts for digital products, the mandatory statutory rights regarding defects and obligations to provide updates remain unaffected. The customer shall assist in the analysis of defects by providing a clear description and the necessary technical information.

(2) The Provider shall have unlimited liability for willful misconduct and gross negligence, for damages resulting from injury to life, limb, or health, under the Product Liability Act, and to the extent of any warranty expressly assumed.

(3) In the event of a breach of a material contractual obligation due to slight negligence, liability is limited to the damages typical of the contract and foreseeable at the time the contract was concluded. Otherwise, liability for slight negligence is excluded.

(4) The foregoing limitations of liability also apply in favor of the Provider’s legal representatives and agents. Mandatory statutory consumer rights remain unaffected.

§ 10 Confidentiality and Data Protection

(1) The parties to an individual B2B contract shall treat information designated as confidential or that is confidential by its nature provided by the other party as confidential and shall use such information solely for the purpose of performing the contract. Statutory disclosure obligations remain unaffected.

(2) Details regarding the processing of personal data are contained in the Privacy Policy. To the extent that the Provider processes personal data on behalf of a customer, the parties shall enter into the necessary data processing agreement prior to the commencement of such processing.

§ 11 Term and Termination of the Contract

(1) The term of the contract and the rights to terminate the contract under normal circumstances are set forth in the individual offer, the order confirmation, or the product description. The right to terminate the contract for cause remains unaffected.

(2) Notice of termination may be given in writing, at a minimum. If an electronic termination function is required by law, that function may also be used. For individual B2B contracts, a different form agreed upon by the parties applies.

(3) Upon termination of the Agreement, each party shall, upon request, return or destroy the other party’s confidential documents and data, provided that no statutory retention requirements, rights of retention, or agreed-upon archiving purposes preclude such action.

§ 12 Final Provisions

(1) The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods. With respect to consumers, this choice of law shall apply only to the extent that it does not deprive them of the protection afforded by mandatory provisions of the country in which they have their habitual residence.

(2) If the customer is a merchant, a legal entity under public law, or a special fund under public law, Lüneburg shall be the exclusive venue for legal proceedings. For consumers, the statutory venues for legal proceedings shall apply.

(3) The Provider is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

(4) Should any provision of these General Terms and Conditions be or become invalid, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the applicable statutory provisions.

Diese Allgemeinen Geschäftsbedingungen gelten für Verträge mit Saskia Teichmann, handelnd unter isla Studio Teichmann, Marcus-Heinemann-Str. 34, 21337 Lüneburg, E-Mail: hello@isla-stud.io, Umsatzsteuer-Identifikationsnummer: DE 278 372 212 (nachfolgend „Anbieterin“).
